About

Capital A Berhad (formerly AirAsia Group) is a multi-national airline group headquartered in Kuala Lumpur, Malaysia. Originally founded in 1993, the group now operates a network of low cost carriers including AirAsia, AirAsia India, Philippines AirAsia, Indonesia AirAsia and Thai AirAsia.

While AirAsia, based at Kuala Lumpur International Airport, is the core airline in the company, Capital A retains significant oversight and equity holdings in the franchises it operates throughout Asia. All member airlines utilise the 'AirAsia' brand and employ identical low cost business models. The AirAsia X Group control the brand's long haul carriers including AirAsia X, Thai AirAsia X and Indonesia AirAsia X.

On 29-Dec-2020, AirAsia Group and TATA Group signed an agreement for TATA Group to purchase 490 million AirAsia India shares from AirAsia Group for USD37.7 million. This will increase TATA Group's stake in AirAsia India by 32.67% to 83.67% and reduce AirAsia Group's stake in the LCC from 49% to 16.33%. TATA Group also plans to increase its stake in AirAsia India from 83.67% to 100%.
 
AirAsia X entered a non-binding letter of acceptance in Jan-2024 with Capital A for the proposed acquisitions of AirAsia and AirAsia Aviation Group Limited. AirAsia X would become the regional aviation provider for all short and medium-haul routes under the AirAsia brand name. The acquisition would also include Thai AirAsia, Indonesia AirAsia and Philippines AirAsia and AirAsia Cambodia.

Capital A entered into the following agreements on 25-Apr-2024:

  • A conditional share sale and purchase agreement with AirAsia Group (AAG) for the proposed AirAsia Aviation Group (AAAGL) disposal for a disposal consideration of MYR3 billion (USD627.68 million) (USD627.68 million);
  • A conditional share sale and purchase agreement with AAG for the proposed AirAsia (AAB) disposal for a disposal consideration of MYR3.8 billion (USD795.06 million).

The proposed disposals of AirAsia Aviation Group (AAAGL) and AirAsia (AAB) allow airline entities operating under the AirAsia brand (including AirAsia X brand) to be housed under a new investment holding company, namely AirAsia Aviation Group (AAG) forming an enlarged aviation group comprising the AAG, AirAsia X (AAX) and its group of companies (AAG Group), AAAGL Group and AAB Group (collectively referred to as the New Aviation Group).
