TUIfly is a German low-cost and charter airline with hubs in Cologne, Dusseldorf, Frankfurt, Munich, Hamburg and Stuttgart. The carrier operates to a range of destinations across Europe, North Africa and the Middle East. Wholly-owned by integrated tour operator TUI Group, TUIfly is Germany's third-largest airline. TUIfly has formed a strategic partnership with airberlin, enabling both airline's to take a minority equity stake in the other. The partnership covers areas including domestic service, charter service and aircraft leasing.
In 2016, TUI Group agreed to contribute its German leisure airline subsidiary TUIfly GmbH to a JV with Etihad Airways. Etihad were in negotiations with airberlin to acquire its touristic operations primarily in Southern Europe and North Africa, including its participation in NIKI, with the objective to contribute it to a JV tentatively named "Blue Sky". The new airline JV was expected to serve a broad route network with its two airlines, TUIfly and NIKI, a total fleet of around 60 aircraft and a seat capacity of 15 million seats p/a, operating from key departure airports in Germany, Austria and Switzerland. TUI AG and Etihad terminated negotiations over the proposed JV on 08-Jun-2017, citing NIKI is no longer a participant.
