Notification on the Registration of the Paid-up Capital

Nok Airlines Public Company Limited (the "Company") would like to inform that the Company has completed the registration of the new paid-up capital with the Department of Business Development, the Ministry of Commerce, from the previous paid-up capital of Baht 2,271,999,796 to the new paid-up capital of Baht 3,108,515,756 on 13 February 2019 which is in accordance with the resolution of the Extraordinary General Meeting of the Shareholders No. 1/2019 held on 22 January 2019 which approved the allocation of the newly issued ordinary shares of the Company to be offered to the existing shareholders in proportion to their respective shareholdings (Rights Offering), in the amount of 908,799,918 shares, at the ratio of 2.5 existing ordinary shares to 1 new ordinary shares, with the price of Baht 2.75 per share. In this regard, the existing shareholders have exercised their rights to subscribe the newly issued ordinary shares in the amount of 836,515,960 shares during the period of 31 January 2019 -6 February 2019. Therefore, the Company has the current paid-up capital of Baht 3,108,515,756, divided in to 3,108,515,756 ordinary shares at a par value of Baht 1.00 per share, and the Company has a registered capital of Baht3,408,049,800.
