10-Oct-2012 GOL Linhas Aéreas Inteligentes S.A. (BM&FBovespa: GOLL4 and NYSE: GOL), (S&P: B, Fitch: B+, Moody's: B3), the largest low-cost, low-fare airline in Latin America hereby announces that today the Brazilian Antitrust Authority (CADE) approved, without restrictions, the acquisition of Webjet Linhas Aéreas S.A ("Webjet") by VRG Linhas Aéreas S.A ("VRG"), a subsidiary of GOL Linhas Aéreas Inteligentes S.A.. The approval was subject to the execution of a term of undertaking (Termo de Compromisso de Desempenho) between VRG, Webjet and CADE whereby we have agreed to maintain a minimum operational efficiency of 85% in the performance of regular scheduled flights (HOTRAN) in the Santos Dumont airport. Both VRG and Webjet retained all of their current capacity in this airport.

The acquisition of 100% of Webjet's capital, announced on August 1, 2011, had already been approved by the National Civil Aviation Agency (ANAC) on October 3 last year. In view of CADE's decision, the Company will adopt measures focused on increasing efficiency and improve services for our clients.
