31-Oct-2012 Ferrovial has reached an agreement to sell 5.72% of FGP Topco Ltd., the holding company which owns Heathrow Airport Holdings Ltd.

In accordance with the provisions of article 82 of the Spanish Securities Market Act (Ley del Mercado de Valores), FERROVIAL, S.A. (the Company or FERROVIAL) communicates the following

REGULATORY DISCLOSURE

FERROVIAL, currently the indirect owner of 49.99% of Heathrow Airport Holdings Ltd., previously known as BAA Ltd., has reached an agreement to sell 5.72% of FGP Topco Ltd., the holding company which owns Heathrow Airport Holdings Ltd., to Stable Investment Corporation ("Stable"), a wholly owned subsidiary of CIC International Co. Ltd., for GBP 257.4 million pounds, equivalent to EUR 319.3 million.

As part of the same transaction and at the same price per share, other shareholders of FGP Topco have sold a 4.28% at the same price per share. Therefore, Stable owns 10% of Heathrow Airport Holdings Ltd.

The transaction with Stable is unconditional and has been closed today. As a result of this transaction, FERROVIAL's indirect stake in Heathrow Airport Holdings Ltd. reduces to 44.27%.

On August 17, (regulatory disclosure nº 172,496) FERROVIAL announced the sale of 10.62% of FGP Topco Ltd. to Qatar Holdings LLC. This sale is conditional upon obtaining approval from the European Commission authorities whereupon FERROVIAL's indirect stake in Heathrow Airport Holdings Ltd. will be 33.65% and FERROVIAL will remain its largest shareholder.
